3. Resale of Goods

When clients request purchased goods, the following apply:

  • All goods are subject to supplier availability
  • Goods are provided “as received” from the manufacturer
  • Build the Framework LLC does not manufacture or warranty goods
  • Warranty claims must be submitted directly to the manufacturer
  • We are not responsible for supplier shipping delays or defects
  • Goods must be paid in full prior to procurement unless agreed otherwise

4. Client Responsibilities

Clients agree to:

  • Provide complete and accurate information
  • Respond to communication in a timely manner
  • Maintain access to required platforms (QuickBooks, Xero, Google Workspace, etc.)
  • Ensure information shared is lawful and authorized
  • Comply with all applicable laws and regulations

We are not responsible for delays caused by incomplete, inaccurate, or missing client information.

5. Payment Terms

Unless otherwise stated:

  • Invoices are due upon receipt
  • Work may pause when invoices are overdue
  • Deposits or retainers may be required
  • Time spent collecting overdue payments may be billable

For resold goods: payment is required upfront unless otherwise agreed.

6. Cancellations & Refunds

6.1 Services

  • Fees for completed work are non-refundable
  • Deposits may be refundable if work has not started
  • Digital deliverables and time already spent are not refundable

6.2 Resold Goods

  • Goods follow the manufacturer’s return policy
  • If a manufacturer does not permit returns, refunds cannot be issued

7. Intellectual Property

Unless otherwise specified:

  • All deliverables, templates, reports, and documentation remain our intellectual property
  • Clients receive a limited license to use materials internally
  • Deliverables may not be shared, sold, or distributed externally without written permission

We provide operational and financial support, but we do not provide:

  • Legal advice
  • Tax advice
  • Investment recommendations
  • Certified public accounting services (unless explicitly contracted)

9. Website Use

By using this site, you agree to:

  • Use the site only for lawful purposes
  • Not attempt unauthorized access to secured areas
  • Not interfere with the functioning of the site

10. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount paid by you in the previous 3 months

  • Payment processors
  • Google Analytics and related tools

These providers have their own terms and privacy policies. We are not responsible for outages or issues caused by third-party platforms.

13. Governing Law

These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts located in California.

We may update these Terms from time to time. The “Last Updated” date reflects the latest version. Continued use of the website after changes means you accept the updated Terms.
